Board Committees

The Ngāi Tahu Holdings Board has formed a number of committees to focus on key areas. A Board director chairs each committee. A brief overview of each of the committee activities is provided below:

Audit & Risk Committee

The Audit and Risk Committee is accountable to the Board for establishing the principles and standards for internal control mechanisms to ensure proper management of the Group’s responsibilities in accordance with established processes and best practice methodologies.

Responsibilities include internal controls around:

  • The safeguarding of assets and management of risk, including legislative compliance
  • Risk monitoring and reporting
  • Maintenance of proper accounting records and the reliability of financial information
  • Appointment and scope of internal and external audit
  • Reviewing Delegations of Financial Authority

Executive Remuneration Committee

The Executive Remuneration Committee reviews all senior executive remuneration and benefits. Its aim is to ensure fair and equitable remuneration relative to comparable positions within the Group and New Zealand markets. It also establishes and reviews systems of reward for high levels of performance in the short and long-term, as well as employment conditions and remuneration.

Investment Committee

An Investment Committee meets as required to review major investments.
